<p>Cyberbullying and cyberstalking grab headlines, but the weight of social media research shows widespread benefits for teens who adeptly use Twitter, Facebook, and other online communities, according to a former University of Minnesota researcher.</p>
<p>&#013;</p>
<p>How parents police social media usage should vary by their teens and their levels of maturity, said Christine Greenhow, an assistant professor in educational psychology at Michigan State University. But parents should help their teens develop social media skills, which can deepen their relationships and broaden their social support, said Greenhow, who conducted postdoc research on this topic at the U of M. Her studies particularly found benefits for low-income teens who gained deeper relationships and a greater sense of belonging through social media.</p>
<p>&#013;</p>
<p>&#8220;There&#8217;s quite a few benefits to social networking in terms of deepening your relationships, extending your relationships, and the depth of support you have to draw on when faced with import decision-making,&#8221; Greenhow said. &#8220;Social media savvy is fast becoming a workplace necessity. Employers want to hire people who can use social media well and leverage their networks for business purposes. As teachers or parents, we want to be aware of that and say, &#8216;well, how can we help our kids develop the social media savvy they need to be successful?&#8217; The first step to that is acknowledging that these are skills that kids need to develop.&#8221;</p>
<p>&#013;</p>

<p>So how can parents help? First, Greenhow said they should log on to the sites their children use and find out for themselves how they work. Second, Greenhow said they should read the terms of service (something their kids probably won&#8217;t do) of these social media sites so they can guide their children on appropriate usage. Third, while social media is a forum for authenticity and self-expression, Greenhow said parents need to remind teens not to post anything that could be damaging if seen by prospective employers or educators. Parents also need to monitor their children for overuse, and set appropriate limitations.</p>
<p>&#013;</p>
<p>Greenhow said the research has focused on teen usage of social media and not on preteens who override the age limits of sites such as Facebook and use them anyway. Concerns are valid about young people being ingenuous online to try to fit in or gain popularity, but Greenhow said studies show that most teens are networking with friends or acquaintances who already know who they are in real life.</p>
<p>&#013;</p>
<p>&#8220;So you can&#8217;t really be too fake because your network knows who you are,&#8221; she said. &#8220;I still think it&#8217;s important to put your best face forward. You don’t want to put something out there that would compromise your ability to do something you want to do in life, or give people the wrong impression about who you really are.&#8221;</p>
<p>&#013;</p>
<p>Greenhow said she doesn&#8217;t dismiss the fear of children being bullied via social media. The relative facelessness of social media can make it easier for people to be cruel or say mean things that they wouldn&#8217;t say face to face. But Greenhow said she is trying to promote the studied benefits of social media because the research results of these benefits haven&#8217;t received as much public attention.</p>

<p>Shareholders have long been concerned about multiple classes of stock with disparate voting rights since such a structure divorces decision-making power from financial exposure. Despite this, recent social media company IPOs have chosen to have two or sometimes three classes of common stock with different voting power, and it appears many are currently suffering in the marketplace.</p>
<p>As Nell Minow recently <a href="http://www.cbsnews.com/8301-505123_162-48140672/the-hidden-danger-of-ipos-like-groupon-and-linkedin----and-what-it-will-cost/?tag=bnetdomain">explained</a>, “[t]he essential principle at the core of capitalism is the assurance that investors’ money will be honorably managed by the corporate executives. That means if their interests are mis-aligned, the shareholders can replace managers with better ones. That cannot happen if the insiders control the voting stock.” <a href="http://www.thefreelibrary.com/Do+voting+rights+affect+institutional+investment+decisions%3F+Evidence...-a0191474846">Studies</a> have shown the presence of dual classes of stock reduces investment by institutional investors, and has become a risk factor in many corporate governance screens, including ours at GMI Ratings, because of its relationship to increased governance risk. Indeed, the structure is only adopted at a minority of public companies (only 40 S&amp;P 500 and 268 Russell 3000 companies). However, several high profile companies – specifically recent social media IPOs Facebook, Groupon, LinkedIn and Zynga – recently adopted multiple class share structures and many have since suffered major stock price declines or developed other governance concerns. </p>
<p>In addition, the largest and one of the most influential public pension funds, CalPERS, recently <a href="http://www.calpers.ca.gov/eip-docs/about/board-cal-agenda/agendas/invest/201208/item07b-00.pdf">announced</a> that it would: “Develop an IPO governance expectations document, explaining the governance expectations [it] has for public companies… [and] address core governance standards of accountability and transparency such as removing dual class, classified, or plurality voting structures.” Companies with dual class share structures are under close examination and it would appear likely that CalPERS, among other large public funds, will engage privately with such firms to persuade them to remove differential voting rights and implement a one-share one-vote structure.</p>
<p>Below we outline the details of these structures and the companies’ recent troubles.    <strong>Case Studies</strong></p>
<p><strong>Facebook</strong></p>
<p>Pre-IPO Facebook had adopted a dual-class share structure, which many claim followed Google’s example from 2004 with both firms giving their Class A common stock one vote per share and Class B 10 votes per share. As we recently explained in a <a href="http://www.forbes.com/sites/paulhodgson/2012/02/02/facebook-i-want-your-money-i-dont-want-your-interference/">Forbes blog</a>, pre-IPO founder Mark Zuckerberg held “almost 57 percent of the voting power of the stock through ownership and voting power over other shareholders’ stock via what is known as an irrevocable proxy. You all know what irrevocable means. So that really means that elections and any issues at the annual meeting are his to decide.” The company’s share price is now infamously on the decline, falling from a closing price of $38 at its May IPO to an all-time low last week around $18. The company has also made headlines for insider <a href="http://www.ft.com/intl/cms/s/0/85d06bee-ead6-11e1-afbb-00144feab49a.html#axzz2469t05GA">stock sales</a>, and its PR struggles to defend its originally all-male board and concerns over directors’ lack of independence (which included the sole female member it recently appointed, the <a href="http://www.businessinsider.com/facebook-adds-a-female-director-to-the-board--sort-of-2012-8">COO Sheryl Sandberg</a>.) GMI Ratings assigned Facebook an ESG Rating of D since its IPO.  </p>
<p><strong>Groupon</strong></p>
<p>Groupon, the e-commerce discount company, has come under fire for several reasons in the past year since its November 2011 IPO. Most recently its share price slide from IPO closing price of $26 to this week’s price around $4, but also in past months for its apparent lack of financial expertise (and resultant restatements). We wrote a <a href="http://www.forbes.com/sites/paulhodgson/2012/04/13/groupon-concerns-over-the-board-never-mind-the-audit-committee/">pieces</a> for Forbes in April on the various board overcommitments, interlocking relationships and lack of financial expertise. Recently some of Groupon’s investors, like <a href="http://online.wsj.com/article/SB10000872396390443989204577599273177326912.html">Marc Andreesen</a> have begun selling their shares. Again, this is a company with a multiple class share structure with the disparate voting rights favoring insiders – its Class B common stock has 150 votes per share and its Class A has one vote per share. As of December last year, the three founders (Eric Lefkofsky, Bradley Keywell and Andrew Mason) controlled 100 percent of the Class B and about 33 percent of the Class A common stock, resulting in about 57 percent of the voting power. GMI Ratings does not include Groupon in its coverage universe as of this date.</p>
<p><strong>LinkedIn</strong></p>
<p>Another social media company with 1 vs 10 votes per share for their Class A vs B common stock respectively, the professional networking company LinkedIn nevertheless has a share price that has actually increased somewhat since its IPO. This may explain how it has avoided as much intense media scrutiny as its peers, however the governance concerns of such an ownership structure remain. As of their 2012 <a href="http://www.sec.gov/Archives/edgar/data/1271024/000119312512191357/d336108ddef14a.htm#toc336108_11">proxy</a>, LinkedIn’s “all executive officers and directors as a group” controlled 76.8 percent of the company’s voting power; the largest contributors to this total include Chairman Reid Hoffman’s beneficial ownership of 45.4 percent of the Class B voting power (and he controls 39.4 percent of the company’s overall voting power), Sequoia Capital’s  17.8 percent control (via Director Michael Moritz)      and Greylock Partners’ 14.9 percent of the overall voting power (via Director David Sze).  </p>
<p><strong>Zillow</strong></p>
<p>This online real estate marketplace company shares the same 1 vs 10 votes per share, dual-class ownership model. Zillow is not part of the GMI Ratings coverage universe for ESG Ratings yet, but has had an “Aggressive” AGR accounting risk rating since its IPO which has now changed to “Very Aggressive”. Zillow’s all-male board of directors appears to be closely associated with either Microsoft or its spin-off Expedia, the firm that purchased Zillow founder and CEO Spencer Rascoff’s former company Hotwire.com in 2003. Indeed, five of the eight directors were associated with Expedia in one way or another. Included on the board is Executive Chairman Rich Barton who himself had founded Expedia and was the prior CEO of Zillow before he was succeeded by Spencer Rascoff in September 2010. The company’s current AGR rating places them in the 6th percentile among all companies in North America (indicating higher governance risk than 94 percent of companies). Among its accounting red flags are its rate of Mergers and Acquisitions, and its ratio of Goodwill to Total Assets. We described the concerns related to its aggressive purchasing strategy and potential goodwill estimate revision risk in a piece <a href="http://www.businessinsider.com/gmi-ratings-governance-issue--zillow-2012-9">here</a> last week. As of their 2012 <a href="http://www.sec.gov/Archives/edgar/data/1334814/000119312512166436/d296287ddef14a.htm#toc296287_13">proxy</a>, Directors Barton and Lloyd Fink held 56.5 and 43.5 percent of the Class B voting power, contributing to the “All executive officers and directors as a group” total of 87.5 percent of the company’s voting power.</p>
<p><strong>Zynga</strong></p>
<p>In an exceptional move, the online social gaming company Zynga created not just two classes of stock with disparate voting rights, but a third class of “supershares” wholly owned by Chairman and CEO Mark Pincus – his class enjoys 70 votes per share while the shares available to the public have only one vote per share. The other class of stock, available only to company insiders, has seven votes per share. As of their 2012 <a href="//www.sec.gov/Archives/edgar/data/1439404/000119312512191399/d329950ddef14a.htm">proxy</a> filing, Mr. Pincus owned 14.6 percent of the company but controlled 37.6 percent of the vote due to his 100 percent ownership of the Class C shares. “All executive officers and directors as a group” control 45.6 percent of the voting power of the company.  Zynga is among the social media companies to have seen a major share price decline since its IPO, falling from about $9 last December to around $3 this week. Zynga is not part of the GMI Ratings coverage universe as of this date.</p>
<p><strong>Conclusion</strong></p>
<p>What is now referred to as “the Zuckerberg Grip”, this voting control exercised by insiders via multiple class share structures is becoming “the new normal” for tech company IPOs. Whether their governance woes and share price declines are directly related to their choice in ownership structure remains a contentious debate; we have our opinion.</p>

<p>GoDaddy, which hosts more than 5 million websites, said it was still investigating what may have caused many of its clients&#8217; sites to get knocked offline.</p>
<p>The Scottsdale, Ariz.-based Internet company told the Los Angeles Times that its IT department was working aggressively to investigate the problem as well as restore its clients&#8217; websites. It declined to say how many websites were affected.</p>
<p>&#8220;GoDaddy did experience some intermittent outages, and it impacted our site and some customer sites,&#8221; company spokeswoman Elizabeth Driscoll said. &#8220;We&#8217;re working to restore all services. Some are already back online.&#8221;</p>
<p>Driscoll said the outages began shortly after 10 a.m. PDT, and they may have caused millions of websites to go offline.</p>
<p>But the problem may be bigger. Some customers who don&#8217;t host with GoDaddy but did register their Internet domain names with the company have also said they&#8217;ve experienced issues including users not being directed to their desired websites. GoDaddy said it has registered more than 53 million domain names.</p>
<p>&#8220;My sites are down, but so are millions of struggling small biz owners,&#8221; said a user named Darnell Clayton on <a href="https://twitter.com/Darnell/status/245261508307738624" target="_blank">Twitter</a>, who also said he registered his domain with the company but doesn&#8217;t use GoDaddy for hosting.</p>
<p>The hacker group Anonymous has taken responsibility for taking the websites down but GoDaddy&#8217;s Driscoll said she could not confirm the claim.</p>
<p>Multiple members of Anonymous have said they were behind the attack, but none of those claims has been verified. It also is unclear what kind of hack or attack led to the massive problem although that hasn&#8217;t stopped many on the Web from speculating.</p>
<p>GoDaddy said users can follow it on <a href="https://twitter.com/GoDaddy" target="_blank">Twitter</a> or its website for more updates as they come.</p>

<p>(CBS News) GoDaddy, the domain registrar and Web hosting company, is down, perhaps taking millions of websites down as a result.</p>
<p>&#8220;Status Alert: Hey, all. We&#8217;re aware of the trouble people are having with our site. We&#8217;re working on it,&#8221; <a href="https://twitter.com/GoDaddy/status/245213898683318272">@GoDaddy </a>tweeted Monday. </p>
<p>While GoDaddy.com&#8217;s site is up and running, websites hosted by the company are still experiencing outages. </p>

<p><a href="http://techcrunch.com/2012/09/10/godaddy-outage-takes-down-millions-of-sites/">TechCrunch </a>reports that GoDaddy email addresses are down, as well. The blog suggests customers concerned with that their site has been affected can check online status at <a href="http://www.downforeveryoneorjustme.com/">Down For Everyone Or Just Me</a>. </p>
<p>A quick call to the company&#8217;s customer service line resulted in a voice message stating that the company is aware of issues involving several services, including web hosting and emails. The company suggest following its <a href="https://twitter.com/godaddy">Twitter </a>page for updates. </p>
<p>Twitter accounts claiming to be associated with the hacking group Anonymous claimed responsibility for the attack.</p>
<p>&#8220;Basically, every GoDaddy site on the planet just crashed,&#8221; <a href="https://twitter.com/TibitXimer/status/245218086582628352">@TibitXimer </a>tweeted. </p>
<p>&#8220;#TangoDown &#8211; godaddy.com,&#8221; <a href="https://twitter.com/AnonOpsLegion/status/245218636187443200">@AnonOpsLegion </a>tweeted Monday, claiming that the Twitter account @AnonymousOwn3r was responsible for the breach. &#8220;TangoDown&#8221; is the term that Anonymous generally uses to signify that a website is down. </p>
<p>&#8220;By using / supporting Godaddy, you are supporting censorship of the Internet,&#8221; @AnonOpsLegion tweeted again later. </p>
<p>GoDaddy was the target of protests after it was discovered that the company supported unpopular bills the Stop Online Piracy Act (SOPA) and Protect IP Act (PIPA). </p>
<p>GoDaddy did not immediately respond to CBS News&#8217; request for comment. </p>
<p>The company&#8217;s latest tweet reads,&#8221;So many messages, can&#8217;t get to you all&#8230; Sorry to hear all your frustration. We&#8217;re working feverishly to resolve as soon as possible.&#8221;</p>

<p>I stood in the college auditorium, giving a lecture about the Internet and it’s ability to organize for social change. An emerging generation cares deeply about the world and we are equipped with tools to gather people and communicate that have never been available before. I’m excited to see what happens when we begin to embrace new media for social justice.</p>
<p>A participant asked me, “So, what did your church do for <a href="http://www.kony2012.com/">KONY 2012</a>?”</p>
<p>I knew who Kony was, of course. He was Joseph Kony, who led the Lord’s Resistance Army, a Ugandan Guerilla Group. A <a href="http://www.youtube.com/watch?v=Y4MnpzG5Sqc">video</a> about him had gone viral, and there were protests around the world to try to encourage awareness and justice. Invisible Children had a big push on (I believe) Holy Week.</p>
<p>I knew about the LRA before I watched the video. In 1992, I visited Uganda, met with the First Lady, Mrs. Museveni, and took tours of the devastation. The landscape of Uganda formed me in lasting ways. I ate and drank with many of the people who were directly affected by Resistance. So I was thankful that the story had gotten out.</p>
<p>But when it came to that particular question, I shook my head and responded, “Didn’t that big push take place during Holy Week? We had a lot going on that week.”</p>
<p>I explained that I didn’t really know enough about Invisible Children to feel comfortable jumping into their campaign. Our congregation&#8217;s work had been focused a little more to the east. On Passion Sunday, the Deputy Assistant Secretary for African Affairs spoke about the refugee camps in the Horn of Africa. We thought about suffering and the death of Christ in light of those refugees. The church had also been working to set up a health network in Ethiopia to help women, children and people who suffer with AIDS. “But we didn’t put any KONY posters up around the city or anything,” I said.</p>
<p>She frowned and sighed. I could tell that she was disappointed by my answer. Even though we had been working in neighboring Ethiopia for many years, she seemed frustrated that we didn’t take part in that particular event.</p>
<p>It reminded me of one of the dangers of social media in social justice work (and there are many dangers). Social media can reduce activism to a fad&#8211; something that we take part in because a particular Twitter hashtag is trending, a video has become viral, or a Facebook Cause has become popular. It can ignore the hard work that has been taking place over decades and discount a long-term strategy that a community might have.  </p>
<p>And the Internet can become a tool to manipulate people. Especially in this election cycle, it can allow religious leaders to become pawns in a political party’s latest spin-game, encouraging us to exaggerate and vilify the other party’s positions.</p>
<p>It saddens me when my social justice friends discount and even mock the basic tools of communication and organizing that a new generation uses. They uplift the glory days of the 1960s, while belittling and negating the hard work of younger generations. But, this exchange reminded me of the other side of the issues. Those of us who are deep in the mire of social media and Internet culture also need to be aware of the short-term manipulations that can entangle us and keep us from long-term change.</p>
<p>Can #occupy’s work continue to move from an urban camping protest to a long-term strategy to combat the inequities in our country? Can we continue to struggle with the justice issues of educational debt, which are crippling so many young men and women in our country? Can we keep working on gender equality, fair wages, and the availability of contraception even after the Democrats stop decrying the “War on Women”? Can we take a hard look at the historic and present attempts to disenfranchise African Americans at the polls? Can we work for long-term solutions that will last beyond our momentary frustrations at the racism in our country? Can we keep struggling for justice for LGBTQs, even when the Chik-Fil-A debacle has died down? And can we work for environmental stewardship, caring for the earth that God entrusted us with, beyond the latest week of hot summer days?</p>
<p>As Christians who strive for social justice, we know that we need the fast and furious exposure that social media can bring. But we also need the long-term, careful work that takes decades.</p>

<p>Technology enables people to keep up with friends, family and colleagues around the world via social networks. Unfortunately, there is a dark side to social networking. Billions of people are socializing on websites, creating a large pool of potential victims that attract cybercriminals.  Click-jacking, fake applications and social engineering are just some of the tactics used in order to deliver malware. In Trend Micro&#8217;s Annual Consumer Security survey conducted of a 1,000 computer users, 20 percent of consumers reported that while on a social networking site, they clicked a link that posted things to their wall that they didn&#8217;t want shared, and 18 percent reported clicking on a link that resulted in computer problems.</p>
<p>Titanium Internet Security is the answer to social networking safety. <p>A number of child protection and privacy groups have asked the Federal Trade Commission (FTC) to launch an inquiry into viral campaigns that are centered on children through online networks.</p>
<p>The main <a href="http://www.democraticmedia.org/">cause for complaint</a> is what is known as &#8220;tell a friend&#8221; or &#8220;refer a friend&#8221; campaigns. Naming McDonald&#8217;s, Viacom, Turner Broadcasting &#8212; known for its Cartoon Network channel &#8212; General Mills and Subway, the Center for Digital Democracy (CDD) along with 16 other advocacy groups have filed 5 separate complaints with the FTC.</p>
<p>At the center is the belief that these major corporations have violated the Children&#8217;s Online Privacy Protection Act (COPPA). The complainants feel that by encouraging children to play brand-based games then share their experiences with friends &#8212; by providing an email address &#8212; not only does the practice violate COPPA, but this kind of marketing is &#8220;unfair&#8221; and &#8220;troubling&#8221;.</p>
<p>The groups say within the complaint:</p>
<blockquote>
<p>&#8220;Such tell-a-friend campaigns, a powerful form of word-of-mouth marketing traditionally directed at teens and adults, are inherently unfair and deceptive when aimed at children, who often aren&#8217;t even aware that they are being asked to generate advertising messages. The practices also violate existing privacy laws for children.&#8221;</p>

<p>In a <a href="http://www.democraticmedia.org/sites/default/files/FTC-letter.pdf">letter sent to the FTC</a> (.pdf), the CDD uses several examples. McDonald&#8217;s invites children to create music videos through uploading a picture or using a webcam, where the face is superimposed onto a cartoon character. After creation, the child can enter up to four friends to receive an email with the subject line: &#8220;You&#8217;ve been tagged for fun by a friend! Check it out! It&#8217;s a Star in Video at the McDonald&#8217;s Happy Meal Website.&#8221;</p>

<p>General Mills has a &#8220;DJ Tool&#8221; for children, where content can also be shared through email addresses.</p>
<p>The advocates want the FTC to investigate these companies for &#8220;unfair and deceptive marketing practices&#8221;, which also allow children to submit their personal information and that of their friends without parental consent. Not only this, but the groups are calling for an update to COPPA which considers modern data collection and behavioral targeting directed at children.</p>
<p>Kathryn C. Montgomery, who led the campaign in the 1990s for passage of COPPA commented:</p>

<p>&#8220;These are particularly insidious practices. The companies identified in these complaints are clearly trying to circumvent privacy safeguards for children. They are also enlisting kids and their friends in deceptive marketing schemes disguised as play &#8212; in some cases for junk foods and other unhealthy products &#8212; completely under the radar of parents.&#8221;</p>
